o:29151 O potrebi donošenja smernica za ocenu horizontalnih koncentracija u Republici Srbiji ABOUT THE NEED OF ADOPTING A GUIDELINES ON THE ASSESSMENT OF HORIZONTAL CONCENTRATIONS IN THE REPUBLIC OF SERBIA sr Апстракт: У овом раду ће бити указано на значај и потребу доношења смерница за оцену хоризонталних концентрација учесника на тржишту у Републици Србији. Смернице би представљале покушај да се приближи и појасни пракса Комисије за заштиту конкуренције у области контроле концентрација. Потреба је чак и већа ако се има у виду да актуелни прописи не праве разлику између хоризонталних и нехоризонталних концентрација, чиме се могу створити недоумице код учесника на тржишту поводом поступака и анализа које Комисија спроводи. Недостатак тестa претпостављеног монополисте при дефинисању релевантног тржишта, као и тзв. критеријумa „сигурне луке“ (safe harbour) при оцени ефеката хоризонталних концентрација, неразликовање унилатералних и координираних ефеката, и недовољна одређеност критеријума за оцену концентрација, неки су од разлога да се размотри неопходност доношења смерница. Смернице би подигле правну извесност у овој области, чинећи поступак који Комисија спроводи транспарентнијим свим заинтересованим странама. Анализом постојећих прописа, искустава и ограничења у њиховој примени, те прегледом решења најбоље упоредне праксе, биће учињен покушај да се формирају принципи за доношење недостајућих смерница. На основу искустава најразвијенијих пракси из ове области, испоставља се да је партнерство Комисије и академске заједнице битна карика у овом процесу. Abstract: This paper will point out the importance and need for making guidelines for the assessment of horizontal concentrations of undertakings in the Republic of Serbia. The guidelines would be an attempt to bring closer and explain the practice of the Commission for Protection of Competition in the field of concentration control. Тhe need is even more significant if one takes into account that the current regulations do not make a distinction between horizontal and nonhorizontal concentrations, which may create confusion with undertakings on the procedures and analyses conducted by the Commission. Lack of the hypothetical monopolist test in the relevant market definition, as well as the “safe harbour” criteria for assessing the effects of horizontal concentrations, non-differentiation of unilateral and coordinated effects, and insufficient determination of the criteria for assessing the concentrations, are some of the reasons to consider the necessity of guidelines adoption. The guidelines would raise legal certainty in this area by making the Commission’s procedure more transparent to all stakeholders. By analysing the existing regulations, experiences and limitations in their implementation, and by reviewing the solutions from the best comparative practice, an attempt will be made to establish principles for making the missing guidelines.
